We are seeking a highly motivated Commercial Legal Counsel to join our dynamic team at AppTweak.
You will be responsible for reviewing, drafting, and negotiating commercial contracts, predominantly focused on client agreements and supplier contracts.
This is a highly collaborative and client-facing role, involving direct interactions with clients to negotiate legal terms and conditions. You will own and continuously improve the company’s commercial legal framework, ensuring compliance, reducing contractual risks, and facilitating smooth and efficient sales processes. While the team is expanding, the Commercial Legal Counsel shall support the Deal Desk team in its billing and data management responsibilities.
Key Responsibilities:
Contract Management: Review, draft, and negotiate client contracts, SaaS agreements, NDAs, service-level agreements, and supplier agreements.
Client-Facing Negotiations: Directly engage with clients to clarify, negotiate, and finalize legal terms.
Commercial Legal Framework: Maintain, optimize, and standardize contractual templates and processes to streamline client onboarding.
Risk Management: Proactively identify and mitigate commercial risks in contractual terms.
Cross-Functional Collaboration: Closely work with Sales, Finance, and Operations to ensure alignment between legal terms and business objectives.
Legal Advisory: Provide clear, practical, and strategic legal advice internally regarding contractual matters.
Requirements
Must-Have:
Fluent in spoken and written English, with the ability to communicate clearly across internal and external stakeholders.
Master’s degree in Law; ideally qualified as a jurist with expertise in international commercial law.
2–3 years of relevant work experience in commercial contract management, ideally within the SaaS, software, or technology industry.
Demonstrated experience working with international commercial contracts (review, redlining, coordination), ideally in a SaaS or B2B setting.
Familiarity with client-facing roles, including directly negotiating legal terms with external stakeholders (clients/suppliers).
Detail-oriented and thorough in contract handling, process implementation, and data management.
A proactive mindset: gets things done, spots gaps, and proposes solutions.
Strong business acumen: understands pricing structures, legal-commercial alignment, and customer needs.
Analytical & Proactive: able to quickly assess contractual risks and proactively suggest practical solutions.
Able to take ownership of projects and follow through with cross-functional teams (e.g., Sales, Legal, Finance, Customer Success).
Confident working with processes and tools, and keen to optimize internal workflows.
Autonomous & Organized: Comfortable working autonomously in a fast-paced, growth-focused environment, effectively managing multiple contracts simultaneously and prioritize.
Nice-to-Have:
Experience with CRM tools (e.g., HubSpot, Salesforce).
Familiarity with contract lifecycle management tools, document redlining, and e-signature platforms.
Basic understanding of SaaS business model, such as Recurring Revenues, or discounting frameworks.
Strong skills in Google Workspace (Docs, Sheets, Slides) and Microsoft Office Suite (Excel, Word, PowerPoint).
