We’re seeking a future team member for the role of European Bank Head of Governance and Company Secretary to join our EMEA Legal team. This role is located in Brussels, Belgium.
In this role, you’ll make an impact in the following ways in relation to The Bank of New York Mellon SA/NV (the European Bank):
- Managing and being accountable for the provision of company secretarial services over the European Bank.
- Works closely with the European Bank and EMEA Legal teams, Senior Management and Independent Non-Executive Directors (INEDS), acting as a Trusted Advisor for corporate governance matters.
- Assisting in initiatives around enhancing the quality of board/committee materials and educating the producers of materials in how to write and deliver quality reports.
- On-boarding new directors and committee members and identifying and arranging training for them according to their needs.
- Establishing relationships with INEDs and providing them with appropriate support and guidance.
- Overseeing the delivery of the annual board and committee self-assessment process.
- Providing company secretarial and governance support in respect of corporate restructurings and M&A projects impacting European Bank and branches.
- Partnering with Regional Area Management and European Bank Management on governance projects and helping to manage and implement key strategic decisions.
- Developing and maintaining relationships with functional leads and business partners across EMEA, e.g. Compliance, Finance, Internal Audit and Risk.
- Ensures compliance obligations under relevant laws and the requirements of regulatory authorities are met from a corporate governance perspective.
- Full functional accountability to the EMEA Head of the Office of the Corporate Secretary, including timely reporting, involvement and escalation to the EMEA Head of the Office of the Corporate Secretary, to ensure they are appropriately informed and engaged in all relevant matters relating to legal entity governance and associated risks.
- Monitor the sufficiency of the resourcing model including escalation to the EMEA Head of the Office of the Corporate Secretary, including identifying critical hires and if/where resource needs augmenting with temporary or permanent solutions.
To be successful in this role, we’re seeking the following:
- Bachelor’s degree and Masters degree or licensed to practice law in local jurisdiction.
- 15 years + of total work experience in Corporate Governance/Law.
- Broad management and leadership experience, including people management, ideally across multiple jurisdictions and where some team members may be remote.
- Broad range of substantive governance skills developed over an extended period of time, including relevant in-house experience.
- Significant experience of interactions with board members.
- Significant experience of frequent interactions with legal and wider business/risk/compliance colleagues.
- Fluent (written & oral) in English as well as at least one other relevant European language.
- Familiarity with current legal, regulatory and market trends and initiatives impacting EMEA.
